Terms of Service
Please read these terms carefully before using the Superpage Systems Inc ("Superpage") platform. They govern your access to and use of our services.
Welcome to Superpage Systems Inc ("Superpage"). These Terms of Service ("Terms"), last updated July 25, 2026, govern your access to and use of the Superpage platform, website, AI marketing agents, and associated services (collectively, the "Services"). By registering for an account, executing an order form, or accessing and using the Services, you agree to be bound by these Terms, which expressly incorporate our Privacy Policy, Payments Policy, Data Processing Agreement (DPA) where applicable, and any other referenced order forms or policies. If you do not agree to these Terms, you may not use the Services.
1. Eligibility, Authority, and Account Registration
The Services are intended strictly for business and commercial use. By using the Services, you represent and warrant that you are at least 18 years old and possess the legal authority to bind your organization to these Terms. You agree to provide accurate, current, and complete information during registration and to maintain the absolute security of your account credentials. You are solely responsible for all activities that occur under your account and must notify us immediately at hello@superpage.io of any unauthorized use or suspected breach of security.
2. Platform Access and Intellectual Property
Subject to your compliance with these Terms, Superpage grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for your internal business and marketing purposes. Superpage and its licensors explicitly reserve all rights, title, and interest in and to the Services, including all underlying software, AI models, algorithms, branding, text, and intellectual property. You may not reverse-engineer, decompile, or attempt to extract the source code or models of the Services. We welcome feedback regarding the Services; by submitting feedback, you grant Superpage a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into our products without any restriction or compensation.
3. Customer Content and Licensing
You retain all ownership rights in the data, text, images, and other materials you submit to or generate through the Services ("Customer Content"). By providing Customer Content, you grant Superpage a limited, worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, display, modify, generate outputs from, secure, support, and improve the Services. We will use your Customer Content only as necessary to provide the platform functionality to you. This license does not imply or grant any authorization for Superpage to use your Customer Content to train our generalized AI models without your explicit consent.
4. Artificial Intelligence Provisions
Our Services heavily utilize artificial intelligence. You acknowledge that AI inputs and outputs may be subject to inaccuracies, non-uniqueness, and similarity to content generated for third parties. You agree that mandatory human review of all AI-generated content is required prior to your publication or use. The Services do not provide professional, legal, medical, or financial advice, and you must not rely on AI outputs for high-risk or heavily regulated decisions. You are strictly prohibited from using the AI features for high-risk uses, including critical infrastructure management, automated decision-making with legal effects, or generating deceptive content. You bear full and absolute responsibility for ensuring that your inputs, generated outputs, and subsequent usage do not violate any third-party rights or applicable laws.
5. Acceptable Use and Marketing Responsibilities
You agree to use the Services only for lawful business purposes. You are exclusively responsible for your marketing activities, including ensuring all ad claims are fully substantiated and lawful. You must independently secure all necessary rights, display accurate notices, deploy appropriate cookies, and obtain valid consents for your audiences and suppression lists. You agree to comply strictly with all applicable marketing, communication, and privacy regulations, including but not limited to CAN-SPAM, ePrivacy, the TCPA, and similar email and SMS laws globally, as well as the rules and policies of Meta, Google, and any other platforms you integrate. Superpage takes no responsibility for your end-user data collection, messaging consents, or communication practices.
6. Data Privacy and Security
To the extent Superpage processes personal data on your behalf, Superpage acts as a data processor and you act as the data controller. Our Data Processing Agreement (DPA) is available upon request or incorporated by reference where applicable under relevant data protection laws. You authorize Superpage to engage third-party subprocessors to deliver the Services, provided we remain responsible for their performance and compliance with applicable data protection obligations.
7. Subscriptions, Billing, and Renewals
Access to premium Services requires a paid subscription. All subscriptions, including those converting from trials, automatically renew at the end of the current billing cycle unless canceled prior to the renewal date. By providing a payment method, you explicitly authorize Superpage to charge all applicable subscription fees and taxes. We reserve the right to change our pricing upon required advance notice to you. Cancellations become effective at the end of the current billing period unless stated otherwise. All sales and payments are final and non-refundable, except where a signed order form expressly states otherwise or applicable law requires a refund. Any approved exception is governed by the applicable order terms and our Payments Policy. In the event of failed payments, chargebacks, or collections, we reserve the right to suspend your access and pursue outstanding balances, passing along associated collection costs where permitted by law.
8. Superpage Payments
If you utilize Superpage Payments to process transactions with your own customers, you acknowledge that payment processing involves independent payment providers, merchants (you), and customers. Your use of Superpage Payments is strictly governed by our Superpage Payments Policy, which is wholly incorporated into these Terms. This framework dictates the allocation of responsibilities among Superpage and its partners, your merchant obligations, fee assessments, disputes, refunds, prohibited activities, and the imposition of reserves or holds where applicable to mitigate financial risk.
9. Third-Party Services and Integrations
The Services interact with and rely upon various third-party services, APIs, AI providers, ad platforms, payment processors, and schedulers. Your use of these integrations is subject to the independent terms of service of those respective third parties. Superpage does not control these external services and is in no way liable for any changes, API deprecations, service outages, or data losses resulting from third-party actions completely outside of our control.
10. Service Changes, Usage Limits, and Beta Features
We continually evolve the Services and may introduce service changes, functionality updates, or usage limits at our discretion to ensure fair use and platform stability. Occasionally, we may offer beta or preview features. These features are provided "as is" strictly for testing purposes, may contain bugs, and may be modified or discontinued at any time without notice or liability to you.
11. Suspension, Termination, and Deletion
We reserve the right to suspend or terminate your access to the Services immediately if we determine you have breached these Terms, pose a security risk, or fail to pay applicable fees. Upon termination, your right to use the Services ceases entirely. We will provide a reasonable opportunity to export your Customer Content post-termination only if expressly offered and technically available. Thereafter, we may delete your data in accordance with our data retention policies. Termination does not relieve you of the obligation to pay any accrued fees. All sections reasonably intended to survive termination shall do so.
12. Confidentiality
During your use of the Services, you or Superpage may share non-public business, technical, or financial information ("Confidential Information"). Both parties agree to protect each other's Confidential Information with at least the same degree of care used to protect their own, and not to use or disclose it except as necessary to perform under these Terms or as required by law, in which case the disclosing party will provide prompt notice of such required disclosure where legally permitted.
13. Export Controls and Legal Compliance
The Services are subject to applicable export controls and economic sanctions laws. You represent that you are not located in an embargoed country or listed on any government list of prohibited or restricted parties. You agree to comply strictly with all applicable anti-corruption laws and export control regulations in connection with your use of the Services.
14. DMCA and Copyright Policy
Superpage respects the intellectual property rights of others. If you believe that your copyrighted work has been infringed upon via the Services, please submit a formal notification pursuant to the Digital Millennium Copyright Act (DMCA) or applicable local law to our designated copyright agent at hello@superpage.io. Include a description of the copyrighted work, its location on our platform, your contact information, and a statement made under penalty of perjury regarding your authorization to act.
15. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind. To the fullest extent permitted by law, Superpage disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We specifically disclaim any liability for AI-generated outputs, specific campaign results, ROI, message deliverability rates, ad approvals by third-party platforms, data loss, or any guarantee that the Services will be completely uninterrupted or error-free.
16. Limitation of Liability
To the maximum extent permitted by applicable law, Superpage, its directors, employees, or agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business interruption, even if advised of the possibility of such damages. In no event shall our total aggregate liability arising out of or related to these Terms exceed the total amount paid by you to Superpage during the twelve (12) months immediately preceding the event giving rise to the claim. Exceptions to this limitation apply only where prohibited by mandatory law.
17. Indemnification
You agree to indemnify, defend, and hold harmless Superpage, its affiliates, directors, officers, and employees from and against any third-party claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Content, your marketing campaigns, your products or services, your violation of these Terms or any applicable law, your messaging consent practices, or your infringement of any third-party rights.
18. SMS Messaging Terms
Users may separately opt in to: (a) informational/event messages about requested demos or registered events, including confirmations, reminders, schedule changes, access details, and service notices; and (b) recurring marketing messages about future events, products, services, discounts, and special offers. Message frequency varies; message and data rates may apply; users can reply STOP to unsubscribe and HELP for assistance; carriers are not liable for delayed or undelivered messages; marketing consent is not a condition of purchase; opting out of marketing texts does not automatically opt the user out of separately requested informational/event texts where permitted; and mobile numbers, SMS opt-in data, and consent are handled under the Privacy Policy, with “Privacy Policy” linked to Privacy Policy.
19. General Provisions
These Terms and any disputes arising from them shall be governed exclusively by the laws of the State of Delaware, without regard to conflicts of law principles. Any legal proceedings shall be brought exclusively in the state or federal courts located in Delaware. Any claim arising out of your use of the Services must be filed within one (1) year after the cause of action arises, where legally enforceable. If any provision is deemed unenforceable, it shall be severed, and the remainder shall remain in full force. Failure to enforce any right does not constitute a waiver. You may not assign these Terms without our prior written consent. Neither party is liable for force majeure events outside their reasonable control. These Terms constitute the entire agreement between the parties. In the event of a conflict, specific executed order forms take precedence over these Terms. The relationship of the parties is that of independent contractors, creating no third-party beneficiaries.
